Welcome to Farmroute. These Terms of Service (“Terms”) govern your access to and use of the Farmroute platform, including our website, mobile applications, software, APIs, and related services (collectively, the “Services”).
These Terms constitute a legally binding agreement between you and Farmroute LLC (“Farmroute,” “we,” “our,” or “us”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Definitions
For purposes of these Terms, the following definitions apply.
Account
An Account is an individual Farmroute user account registered to a single person. An Account may belong to one or more Organizations through Memberships.
Administrator
An Administrator is a User authorized by an Organization Owner to manage some or all aspects of an Organization, including Users, Workers, documents, settings, permissions, subscriptions, and other Organization resources.
AI Features
AI Features are optional software features that assist Users by generating, analyzing, organizing, summarizing, or suggesting content. AI output is intended as an aid only and should not be relied upon without appropriate review.
Applicable Law
Applicable Law means all laws, regulations, rules, governmental orders, and legally binding requirements applicable to your use of the Services.
Farm Profile
A Farm Profile is an Organization created to represent an agricultural business or farming operation within Farmroute.
Farmroute
“Farmroute,” “we,” “our,” or “us” means Farmroute LLC, a South Dakota limited liability company.
Membership
A Membership is the relationship between an Account and an Organization that grants the User access to Organization resources according to assigned permissions.
A Membership may be revoked without deleting the underlying Account.
Organization
An Organization is a workspace within Farmroute that represents a business, farm, or other supported entity. Organizations may contain Users, Workers, documents, files, operational data, schedules, and other business information.
Organization Owner
The Organization Owner is the individual or entity responsible for the Organization, including its subscription, billing obligations, and administrative control.
Services
Services include the Farmroute website, mobile applications, APIs, software, cloud infrastructure, synchronization services, optional AI functionality, documentation, and all related products made available by Farmroute.
User
A User is any individual who accesses or uses the Services through an Account.
Worker
A Worker is an individual managed by an Organization through the Services. A Worker may or may not possess a Farmroute Account.
Where a Worker also has a Farmroute Account, that Account remains independent of any individual Organization.
Content
Content includes files, documents, images, messages, payroll information, employee records, schedules, forms, notes, uploads, and any other information submitted to or stored within the Services.
2. Acceptance of These Terms
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you use the Services on behalf of a business, farm, partnership, corporation, governmental entity, nonprofit organization, or other legal entity, you represent and warrant that you possess the authority to bind that entity to these Terms.
If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Services.
Your continued use of the Services constitutes acceptance of any future revisions made in accordance with these Terms.
3. Eligibility
3.1 Minimum Age
You must be at least thirteen (13) years of age to create or use a Farmroute Account.
Users under eighteen (18) years of age may only use the Services where permitted under Applicable Law and, where required, under the supervision, authorization, or consent of a parent, guardian, employer, or other legally responsible party.
Farmroute does not knowingly permit children under thirteen (13) years of age to create Accounts.
3.2 Organization Ownership
To create, own, administer, or financially manage a Farm Profile or other Organization, you must:
be at least eighteen (18) years old; possess the legal authority to act on behalf of the Organization; and have authority to enter legally binding agreements.
3.3 Geographic Availability
Farmroute is made available worldwide.
You are solely responsible for ensuring that your use of the Services complies with the laws applicable in your jurisdiction.
Farmroute makes no representation that the Services are appropriate or lawful in every country or territory.
3.4 Compliance with Law
You agree to use the Services only in compliance with Applicable Law.
4. Accounts and Organizations
4.1 Individual Accounts
Every User must maintain their own Farmroute Account.
Accounts are personal and may not be shared between multiple individuals.
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account.
4.2 Organizations
Organizations exist independently from individual Accounts.
Organizations may contain:
Users; Workers; Documents; Operational records; Files; Schedules; Payroll information; Forms; Other business information.
An Organization Owner is responsible for ensuring that all Users added to the Organization are properly authorized.
4.3 Memberships
A User may belong to multiple Organizations through separate Memberships.
Each Membership is independent.
Removing a User from one Organization does not remove that User from Farmroute or from any other Organization.
4.4 Worker Accounts
Workers managed through Farmroute remain under the control of the applicable Organization only to the extent necessary for business operations.
Where a Worker possesses a Farmroute Account:
the Account belongs to the individual User; Organizations receive only the access granted through Memberships and permissions; removing Membership does not transfer ownership of the Account.
4.5 Accurate Information
You agree to provide accurate, complete, and current information.
You must promptly update inaccurate or outdated information.
4.6 Security
You are responsible for safeguarding your password and authentication credentials.
You agree to notify Farmroute immediately if you believe your Account has been compromised.
Farmroute is not responsible for losses resulting from your failure to adequately protect your credentials.
4.7 Electronic Communications
You agree that Farmroute may communicate with you electronically regarding:
billing; security alerts; service updates; legal notices; account notifications; subscription changes; and other information relating to the Services.
5. Subscriptions, Billing, and Payments
5.1 Subscription Services
Certain Services require payment of subscription fees or usage-based charges.
Subscription pricing is displayed before purchase.
5.2 Automatic Renewal
Unless cancelled, subscriptions automatically renew at the end of each billing period.
By subscribing, you authorize Farmroute and its payment processor to automatically charge your selected payment method for all applicable subscription and usage fees.
5.3 Payment Processor
Payments are securely processed through Stripe or another payment processor selected by Farmroute.
Your use of those payment services is also subject to their applicable agreements and privacy policies.
Farmroute does not store complete payment card information.
5.4 Usage-Based Charges
Some Farmroute features are billed according to measured usage.
Usage metrics are described within the Services and may include active workers or other measurable service usage.
You agree that Farmroute’s records regarding billable usage shall be presumed accurate absent clear evidence of error.
5.5 Free Trial
Farmroute may offer a thirty (30) day free trial.
Unless cancelled before the conclusion of the trial, your subscription will automatically convert into a paid subscription using your selected payment method.
Farmroute may modify or discontinue promotional trials at any time.
5.6 Cancellation
You may cancel your subscription at any time.
Cancellation prevents future recurring charges but does not automatically reverse charges already incurred.
5.7 Refunds
Where applicable, Farmroute provides prorated refunds for eligible subscription periods.
Usage-based fees already incurred may not be refundable.
Nothing in this section limits any rights you possess under Applicable Law.
5.8 Taxes
Unless otherwise stated, pricing excludes applicable taxes.
You are responsible for paying all taxes required under Applicable Law.
5.9 Payment Failures
If payment cannot be collected, Farmroute may:
suspend Organization Memberships; restrict access to Organization resources; retry payment; collect outstanding balances; charge lawful late fees where permitted.
Farmroute will generally not delete User Accounts solely because of a payment failure.
5.10 Billing Disputes
Billing questions should be submitted promptly after discovery.
Failure to timely dispute a charge does not waive rights provided by Applicable Law.
6. Acceptable Use
The Services may only be used for lawful and legitimate purposes.
You agree that neither you nor anyone using your Account or Organization will:
Security
attempt unauthorized access to the Services; exploit security vulnerabilities; interfere with security controls; bypass authentication systems; distribute malware; distribute ransomware; distribute viruses; perform denial-of-service attacks; interfere with the operation of the Services.
Abuse
You may not:
send spam; abuse system resources; overload Farmroute infrastructure; use excessive automated requests; circumvent rate limits; scrape the Services without written authorization; reverse engineer the Services except where expressly permitted by Applicable Law; decompile or disassemble Farmroute software except where legally protected rights cannot be waived.
Intellectual Property
You may not upload or distribute content that infringes copyrights, trademarks, patents, trade secrets, or other intellectual property rights.
Illegal Content
You may not use Farmroute to create, store, distribute, promote, or facilitate:
illegal content; child sexual abuse material; pornography where prohibited by Applicable Law; terrorism; fraud; identity theft; human trafficking; unlawful discrimination; illegal employment practices; unlawful labor arrangements; knowingly falsified employment records.
Employment Compliance
You may not knowingly use Farmroute to manage workers in violation of Applicable Law, including the unlawful employment of individuals below the minimum legal working age or other prohibited labor practices.
Nothing in the Services authorizes or validates employment that would otherwise violate Applicable Law.
Misrepresentation
You may not impersonate another person or organization, misrepresent your identity, or falsely claim affiliation with another individual or business.
Interference
You may not interfere with another customer’s use of the Services.
Responsible Use
Organizations are responsible for ensuring that all Users acting under their Organization comply with these Terms.
Organization Owners remain responsible for activities conducted through their Organization.
Enforcement
Farmroute reserves the right to investigate suspected violations of these Terms.
Where Farmroute reasonably believes that a violation has occurred, we may suspend or terminate access to the Services, remove Content where legally appropriate, cooperate with law enforcement, or take any other action reasonably necessary to protect the Services, our Users, or third parties.
7. Data Ownership and License
7.1 Customer Ownership
As between you and Farmroute, you retain all right, title, and interest in and to any Content you upload, create, store, or otherwise submit through the Services, including but not limited to:
employee records; worker information; payroll information; schedules; documents; forms; photographs; videos; files; messages; operational records; and other business information.
Farmroute does not claim ownership of your Content.
7.2 Farmroute License
To operate the Services, you grant Farmroute a worldwide, non-exclusive, royalty-free, revocable license to:
store; host; transmit; synchronize; back up; display; process; and otherwise use your Content,
solely as necessary to provide, maintain, secure, improve, troubleshoot, and support the Services.
This license automatically terminates when your Content is permanently deleted from our systems, except where retention is required by Applicable Law or reasonably necessary to resolve disputes, enforce these Terms, or protect the integrity of the Services.
7.3 Responsibility for Content
You are solely responsible for the Content you upload or manage through the Services.
You represent and warrant that:
you possess all rights necessary to upload such Content; your Content does not violate Applicable Law; your Content does not infringe any third-party rights; and your use of the Services complies with these Terms.
7.4 Data Retention
Following termination of an Organization or deletion of Content, Farmroute may retain Customer Data for up to thirty (30) days before permanent deletion.
Certain information may be retained longer where required by Applicable Law, court order, regulatory obligation, fraud prevention, security investigations, backup integrity, or enforcement of these Terms.
Farmroute does not guarantee recovery of deleted Content after the applicable retention period expires.
7.5 Privacy
Farmroute’s collection and processing of personal information is governed by the Farmroute Privacy Policy, which is incorporated into these Terms by reference.
8. Artificial Intelligence Features
8.1 AI Assistance
Farmroute may provide optional AI-powered features intended to assist Users with organizing, summarizing, generating, or analyzing information.
AI-generated output is provided solely as an informational aid.
8.2 Local Processing
Where technically available, AI processing may occur locally on your device.
Information processed locally is not transmitted to Farmroute solely because an AI feature is used.
Certain optional cloud-based AI features introduced in the future may require transmission to third-party providers. If implemented, those features will be clearly identified.
8.3 No Guarantee of Accuracy
Artificial intelligence may produce inaccurate, incomplete, outdated, or misleading results.
You remain solely responsible for reviewing and verifying all AI-generated output before relying upon it for employment, payroll, legal, tax, safety, operational, regulatory, or other business decisions.
8.4 No Professional Advice
AI Features do not constitute legal, accounting, tax, immigration, employment, safety, medical, or other professional advice.
9. Third-Party Services and Open Source Software
9.1 Third-Party Services
Farmroute may integrate with or rely upon third-party products or services, including payment processors, authentication providers, cloud infrastructure providers, accounting software, communication platforms, mapping providers, or other external services.
Your use of those third-party services is governed by their own applicable terms and privacy policies.
Farmroute is not responsible for the availability, security, content, or practices of third-party services.
9.2 Future Integrations
Farmroute may introduce integrations with additional third-party services over time.
Availability of any integration may change without notice.
9.3 Open Source Software
Portions of the Services may include software licensed under one or more open-source licenses.
Nothing in these Terms limits any rights granted under those applicable open-source licenses.
Where required, applicable open-source license notices will be made available by Farmroute.
10. Intellectual Property
10.1 Ownership
Except for Customer Content, the Services and all related intellectual property are owned exclusively by Farmroute or its licensors.
This includes, without limitation:
software; source code; object code; user interfaces; workflows; graphics; branding; trademarks; logos; documentation; APIs; databases; designs; text; audiovisual works; and all related intellectual property rights.
10.2 Limited License
Subject to these Terms, Farmroute grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended business purposes.
No ownership rights are transferred.
10.3 Restrictions
Unless expressly authorized in writing, you may not:
copy the Services; redistribute the Services; sublicense the Services; sell the Services; lease the Services; modify the Services; create derivative works from the Services; remove copyright or trademark notices; or use Farmroute branding in a manner suggesting endorsement.
10.4 Feedback
If you submit suggestions, ideas, feature requests, or other feedback regarding the Services, you grant Farmroute a perpetual, irrevocable, worldwide, royalty-free license to use, modify, publish, commercialize, and incorporate that feedback without compensation or obligation to you.
11. Suspension and Termination
11.1 Suspension
Farmroute may immediately suspend or restrict access to all or part of the Services where reasonably necessary to:
investigate suspected misconduct; prevent fraud; protect system security; comply with Applicable Law; respond to governmental requests; protect other Users; prevent abuse of the Services; or enforce these Terms.
11.2 Nonpayment
Failure to pay applicable subscription fees may result in suspension of Organization Memberships or Organization functionality.
Farmroute generally will not permanently delete User Accounts solely because of nonpayment.
11.3 Termination by You
You may discontinue use of the Services at any time.
Termination does not relieve you of obligations incurred before termination.
11.4 Termination by Farmroute
Farmroute may terminate Accounts or Organizations that:
repeatedly violate these Terms; engage in illegal conduct; compromise platform security; infringe intellectual property rights; abuse Farmroute infrastructure; or create significant legal or operational risk.
11.5 Survival
Sections concerning intellectual property, payments owed, disclaimers, limitation of liability, indemnification, arbitration, governing law, and other provisions that by their nature should survive termination shall remain in effect.
12. Disclaimer of Warranties and Limitation of Liability
12.1 Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FARMROUTE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.
Farmroute does not warrant that:
the Services will always be available; defects will always be corrected; the Services will be uninterrupted; the Services will meet every customer’s requirements; or all information generated by the Services will be error-free.
12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FARMROUTE SHALL NOT BE LIABLE FOR:
INDIRECT DAMAGES; INCIDENTAL DAMAGES; CONSEQUENTIAL DAMAGES; SPECIAL DAMAGES; EXEMPLARY DAMAGES; PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST DATA; LOSS OF GOODWILL; OR BUSINESS INTERRUPTION.
12.3 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FARMROUTE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO FARMROUTE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain liability limitations. In such jurisdictions, this section shall apply only to the maximum extent permitted by Applicable Law.
12.4 Indemnification
You agree to defend, indemnify, and hold harmless Farmroute, its officers, directors, employees, contractors, affiliates, and licensors from any claims, damages, liabilities, losses, expenses, or reasonable attorneys’ fees arising from:
your use of the Services; your Content; your violation of these Terms; your violation of Applicable Law; or your infringement of any third-party rights.
13. Arbitration and Governing Law
13.1 Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of South Dakota, United States, without regard to conflict-of-law principles.
13.2 Mandatory Arbitration
Except where prohibited by Applicable Law, any dispute arising out of or relating to these Terms or the Services shall be resolved through final and binding arbitration rather than litigation.
Arbitration shall take place in South Dakota unless otherwise required by Applicable Law or mutually agreed by the parties.
The arbitrator shall possess authority to award any remedy available under applicable law, subject to the limitations contained in these Terms.
13.3 Class Action Waiver
To the fullest extent permitted by Applicable Law, disputes shall be resolved solely on an individual basis.
Neither party may participate in any class action, class arbitration, collective action, consolidated proceeding, or representative action.
13.4 Exceptions
Nothing in this section prevents either party from seeking temporary injunctive or equitable relief to protect intellectual property, confidential information, or platform security where such relief is otherwise available.
14. Miscellaneous
14.1 Force Majeure
Farmroute shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, cloud infrastructure failures, utility interruptions, governmental actions, epidemics, or other force majeure events.
14.2 Service Changes
Farmroute may modify, improve, replace, suspend, or discontinue any portion of the Services at any time.
14.3 Beta Features
Features identified as alpha, beta, preview, experimental, or similar designations are provided on an “AS IS” basis and may be modified or discontinued at any time.
14.4 Changes to These Terms
Farmroute may update these Terms from time to time.
For material changes, Farmroute will generally provide at least thirty (30) days’ advance notice through the Services, by email, or by another reasonable method, unless immediate changes are required to comply with Applicable Law, address security concerns, prevent fraud or abuse, or respond to operational emergencies.
Continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.
14.5 Severability
If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
14.6 Waiver
Failure by Farmroute to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
14.7 Assignment
You may not assign or transfer these Terms without Farmroute’s prior written consent.
Farmroute may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, or sale of assets.
14.8 Entire Agreement
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Farmroute regarding the Services and supersede all prior understandings relating to the Services.
